Outline for counsel. Not an executable contract until countersigned as an Order Form + MSA.

1. Parties

Supplier: APZOR Pty LTD (Reg. 2019/577802/07, VAT 4690290483), La Lucia, South Africa. Customer: legal entity named on the Order Form.

2. Services

APZWatch multi-tenant sanctions / PEP / wallet / adverse-media screening
Console seats as listed on the Order Form
API access with agreed rate limits and monthly screen quota
Optional: dedicated support channel, custom list onboarding, SSO roadmap items

3. Fees & term

Fees in USD list prices, invoiced monthly/annually via PayFast (ZAR settlement) or enterprise invoice. Initial term typically 12 months; auto-renew unless notice ≥30 days before term end.

4. Data processing

The Data Processing Addendum at /legal/dpa and subprocessors list at /legal/subprocessors form part of the Agreement. Customer remains the responsible party for AML programme design.

5. Service levels

Support SLOs in /legal/sla apply as amended by the Order Form. Credits, if any, are the sole remedy for missed SLOs unless the Order Form states otherwise.

6. Acceptable use & sanctions evasion

Customer must not use the Service to evade sanctions or to provide white-label screening to unaffiliated third parties without written consent.

7. Liability

Aggregate liability capped at fees paid in the prior 12 months, excluding fraud, death/IP, or confidentiality breaches as counsel finalises. Screening outputs are assistance — not legal advice or a government determination.

8. Governing law

Republic of South Africa. Venue: courts of KwaZulu-Natal unless Order Form agrees arbitration.
